Terms of Service

1. Acceptance of Terms

By accessing or using Syntact ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time and will notify you of material changes. Continued use after changes constitutes acceptance.

2. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to notify us immediately of unauthorized access. You must be at least 18 years old to create an account.

3. Credit System

3.1 Purchasing Credits

Credits are purchased through one-time payments processed by Stripe. Available tiers are Starter ($10), Plus ($25), Pro ($50), Business ($100), and Custom ($10-$500). The number of credits issued reflects the payment amount after processing fees (Stripe, platform, and API access fees).

3.2 Credit Usage

Credits are consumed when you make API requests through the Service. The cost depends on the AI model selected and the number of tokens processed. Credit deductions are based on actual usage as reported by the underlying API provider.

3.3 Credit Expiration

Unused credits expire 12 months after purchase. This aligns with the credit expiration terms of our API provider (OpenRouter). We will send a notification at least 30 days before credits expire. Expired credits cannot be recovered.

3.4 No Transfer or Resale

Credits are non-transferable between accounts and may not be resold, bartered, or exchanged outside of the Service.

3.5 Credit Balance on Account Deletion

If you delete your account, any remaining credit balance is forfeited. If you have a significant remaining balance, contact support before deletion to discuss refund eligibility.

4. Payments

All payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service. Prices are in US dollars. You are responsible for any applicable taxes. We do not store credit card information; all payment data is handled by Stripe in compliance with PCI-DSS standards.

5. Acceptable Use

You agree not to use the Service to:

Generate content that violates applicable law or third-party rights
Attempt to circumvent usage limits or credit deductions
Reverse-engineer, scrape, or probe the Service's infrastructure
Share your account credentials or allow unauthorized access
Use automated tools to abuse the Service or create excessive load
Violate the usage policies of underlying AI model providers

We reserve the right to suspend or terminate accounts that violate these terms.

6. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted access. The Service depends on third-party providers (AI model providers, Stripe, hosting infrastructure) and may be affected by their availability. Scheduled maintenance will be announced in advance when possible.

7. Intellectual Property

You retain ownership of content you submit to the Service. AI-generated responses are provided under the terms of the respective AI model provider. The Syntact brand, interface, and code are the property of Syntact and may not be reproduced without permission.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Syntact shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability is limited to the amount you paid for credits in the preceding 12 months.

9. Privacy

We collect and process data necessary to provide the Service, including account information, usage data, and payment records. We do not sell personal data to third parties. Conversations are processed by third-party AI providers according to their respective privacy policies.

10. Termination

You may close your account at any time. We may suspend or terminate your account for violations of these Terms. Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, limitation of liability, and governing law survive termination.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms. If you disagree with changes, you should stop using the Service and contact support regarding any remaining credit balance.
